1. ACCEPTANCE OF TERMS
By accessing or using NewEraDigital.ie (the “Website”) and our services, you agree to these Terms of Use. If you do not agree, you must stop using our Website and services immediately.
These Terms form a legal agreement between you (the user) and New Era Digital (“we”, “our”, “us”).
We reserve the right to update these Terms at any time. Continued use of the Website after updates constitutes acceptance.
2. SERVICES PROVIDED
We offer SEO, PPC, digital marketing, and AI-powered optimisation services.
Our services include, but are not limited to:
SEO audits, keyword research, on-page and technical SEO optimisation
Google Ads management, PPC strategy, ad copywriting, and bid management
AI-powered SEO analysis and automated campaign improvements
Content SEO, including AI-assisted recommendations
We do not guarantee specific rankings, traffic levels, or ROI from our services. Results depend on multiple external factors, including algorithm changes and industry competition.
3. CLIENT RESPONSIBILITIES & SERVICE LIMITATIONS
The client is responsible for ensuring their website, hosting, and required integrations (e.g., Google Analytics, Search Console, CMS access) are functional throughout the subscription period.
If we are unable to deliver services due to:
Website downtime, hosting failures, or server issues.
Client-side CMS problems, site migrations, or development delays.
Lack of access to necessary tools (Google Ads, Google Business Profile, CMS, etc.).
Client failure to provide requested content, credentials, or approvals.
Then:
The client remains responsible for full payment of the subscription fee for that period.
The subscription will not be paused, credited, or refunded due to client-side issues.
We may, at our discretion, offer a temporary service hold if the issue is expected to be resolved within a reasonable timeframe (e.g., 14 days).
If technical issues on our end (e.g., tool failures, internal delays) impact service delivery, we will:
Notify the client immediately.
Offer an alternative solution or timeline adjustment where possible.
4. SEO & PPC DISCLAIMER – NO GUARANTEED RESULTS
We apply best-practice SEO & PPC strategies, but we do not guarantee specific rankings, traffic levels, leads, or sales.
Search engine algorithms, competitor actions, and external factors influence results.
Paid ad performance depends on budget, bidding competition, ad quality, and market demand.
5. SCOPE OF WORK & ADDITIONAL FEES
Additional requests beyond the agreed scope (e.g., extra blog posts, additional PPC campaigns, custom reporting) will be charged at €55 per hour or a custom quote will be provided.
We will notify the client before any extra charges apply.
6. CLIENT WEBSITE MODIFICATIONS & IMPACT ON RESULTS
If the client makes website changes (e.g., redesigns, URL structure changes, removing optimised content, disabling tracking codes) without prior consultation, we:
Are not responsible for ranking drops, ad performance issues, or lost data caused by these changes.
May charge a separate fee to fix SEO or PPC issues resulting from these modifications.
7. NON-PAYMENT & SERVICE SUSPENSION
Payments are due on the agreed billing date each month.
If payment fails, we will:
Send a reminder within 3 days.
Suspend services after 7 days of non-payment.
Terminate the contract after 30 days if payment is not received.
Work completed before suspension is still chargeable.
Reactivating a paused account may incur a reinstatement fee of €25.00.
8. THIRD-PARTY ACCOUNT ACCESS & LIABILITY
We require limited access to third-party platforms (e.g., Google Ads, Analytics, Search Console, CMS) to perform services.
The client remains the sole owner and controller of these accounts.
We do not take responsibility for:
Account suspensions or policy violations caused by past activities or platform algorithm changes.
Loss of data, security breaches, or login issues on third-party platforms.
The client must notify us before changing credentials or removing access to avoid disruptions.
9. USE OF RESULTS FOR CASE STUDIES & MARKETING
We reserve the right to use anonymous or non-identifiable data from projects and campaigns for marketing, case studies, and industry insights.
If the client wishes to opt out of their results being used in case studies, they must notify us in writing at info@neweradifgital.ie.
We will never disclose confidential business information or proprietary data without explicit client consent.
10. DATA RETENTION & DELETION POLICY
Upon project completion, unless an ongoing service agreement is in place, we will:
Remove the client’s Google Analytics from our account and other tracking tools.
Delete any stored personal information or credentials from our internal systems within 28 days, except where retention is required for legal or tax purposes.
Ensure that all data deletion is done securely and in compliance with GDPR regulations.
Clients may request an explicit confirmation of data removal by contacting info@neweradigital.ie.
11. FORCE MAJEURE – UNCONTROLLABLE EVENTS
We are not responsible for delays, losses, or changes in service delivery caused by uncontrollable events, including but not limited to:
Google algorithm updates affecting rankings.
Ad platform policy changes impacting campaign eligibility.
Internet outages, server failures, or cyberattacks affecting data access.
Government regulations impacting digital marketing practices.
If such events disrupt services, we will provide reasonable adjustments but are not obligated to issue refunds or compensation.
12. CONFIDENTIALITY & NON-DISCLOSURE
Both parties agree to keep confidential any proprietary business information, strategies, or analytics data shared during the engagement.
Neither party shall disclose sensitive data to third parties or competitors without written consent.
Confidentiality remains in effect even after the service agreement ends.
13. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by the laws of the Republic of Ireland, without regard to conflict of law principles.
Any disputes will be resolved through negotiation first. If unresolved, disputes will be settled in the Republic of Ireland.
14. CHANGES TO THESE TERMS
We may update these Terms periodically.
Significant changes will be communicated via email or a Website notice.
Continued use of our services after changes are published constitutes acceptance.
